END-USER LICENSE AGREEMENT (EULA)
FOR LOCCO DECOR

Effective Date: 01/01/2025

IMPORTANT – READ CAREFULLY:
This End-User License Agreement ("Agreement") is a legal contract between you (either an individual or a single entity) and Locco Decor ("Licensor") governing your use of the Locco Decor website and any related software, services, or content (collectively, "Products"). By accessing or using the Products, you agree to be bound by the terms of this Agreement. If you do not agree, do not use the Products.

1. License Grant
   Locco Decor grants you a non-exclusive, non-transferable, revocable license to access and use the Products solely for personal, non-commercial purposes in accordance with this Agreement.

2. Restrictions
   You shall not:

   • Copy, modify, distribute, or create derivative works based on the Products.
   • Reverse engineer, decompile, or disassemble the Products.
   • Use the Products in any manner that violates any applicable law or infringes any third-party rights.
   • Remove or alter any proprietary notices or labels on the Products.

3. Intellectual Property Rights
   All titles, copyrights, and other intellectual property rights in the Products belong to Locco Decor or its licensors. This Agreement does not grant you any rights to use Locco Decor’s trademarks, service marks, or logos.

4. User Obligations
   You agree to use the Products in a lawful manner and not to engage in any activity that could damage, disable, overburden, or impair the Products or interfere with any party’s use of them.

5. Modifications and Updates
   Locco Decor reserves the right to modify, update, or discontinue any aspect of the Products at any time without prior notice. Your continued use of the Products after such changes constitutes your acceptance of the new terms.

6. Termination
   This Agreement is effective until terminated. Locco Decor may immediately terminate or suspend your access if you breach any term of this Agreement. Upon termination, you must cease using and delete all copies of the Products.

7. Disclaimer of Warranties
   The Products are provided "as is" without warranties of any kind, either express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement. Locco Decor does not warrant that the Products will be uninterrupted or error-free.

8. Limitation of Liability
   In no event shall Locco Decor be liable for any indirect, incidental, special, or consequential damages (including, without limitation, loss of profits, data, or use) arising out of or in connection with your use of or inability to use the Products—even if advised of the possibility of such damages. Locco Decor's total liability shall not exceed any amounts paid by you (if applicable) for accessing the Products.

9. Indemnification
   You agree to indemnify and hold harmless Locco Decor, its affiliates, officers, and employees from any claims, damages, or expenses arising from your use of the Products or violation of this Agreement.

10. Governing Law and Dispute Resolution
    This Agreement shall be governed by the laws of [Your Jurisdiction] without regard to its conflict of laws principles. Any disputes arising under or related in any way to this Agreement shall be resolved exclusively in the appropriate courts located in California Supreme Court .

11. Severability
    If any provision of this Agreement is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that this Agreement will otherwise remain in full force and effect.

12. Entire Agreement
    This Agreement constitutes the entire agreement between you and Locco Decor regarding your use of the Products and supersedes all prior or contemporaneous communications and proposals, whether oral or written.
